## 1. Grant of License

Licensor hereby grants you the right to copy, modify, create derivative works, redistribute, and make non-production and production use of the Software, subject to the terms and Additional Use Grant set forth below.

## 2. Additional Use Grant (Permitted Commercial & Non-Commercial Use)

You may run the Software in production and utilize all client SDKs (`a2aclear`, `@a2aclear/core`), APIs, and protocol standards without payment of licensing fees, provided that:

1. **Autonomous Volume Cap:** Your application or entity processes less than ₹10,00,000 INR (or $12,000 USD) in cumulative monthly autonomous agent clearing volume across the Software.
2. **Research & Development:** Any academic, research, prototyping, and educational use is 100% free and unrestricted.
3. **No Hosted Clearinghouse Service:** You may NOT provide the Software, or any substantial derivative work thereof, as a hosted, managed, or re-sold agent-to-agent clearinghouse service, settlement network, or competing API platform to third parties without an express, written Commercial Enterprise License signed by Licensor.

## 3. Commercial Enterprise Licensing

Entities exceeding the Additional Use Grant, cloud service providers, and institutional clearing aggregators must obtain a formal **A2AClear Sovereign Commercial License** prior to deployment. Contact: `licensing@unnataisolutions.com`.

## 4. Effective Date & Automatic Conversion

On the **Change Date (November 5, 2030)**, this License shall automatically expire and convert to the **Apache License, Version 2.0**, without requiring further notice from Licensor.
